What we are looking for:

 

Yazaki is looking for Corporate Counsel to join our Legal team in Canton, Michigan.  The ideal candidate will enjoy working in a collaborative and action-driven environment making lasting impacts on the organization. 

 

The Corporate Counsel serves as a pivotal member of the legal team, reporting directly to the Vice President of Legal. This role is integral in providing legal counsel to business and operations personnel on non-complex matters, ensuring legal compliance, and managing various contractual obligations. With a solid understanding of contract law, corporate law, employment law, and supply chain dynamics, this individual plays a critical role in drafting, reviewing, and negotiating contracts while collaborating with external legal counsel on intricate legal issues. Additionally, participation in training and education initiatives within the corporation ensures a culture of legal awareness and adherence.

 

What you will be doing:

 

  • Legal Advisory:
    • Offer legal guidance and support to business and operations staff on routine legal matters, providing clear and practical advice to ensure compliance with applicable laws and regulations.
    • Analyze non-complex legal issues, identify potential risks, and propose effective solutions to mitigate legal exposure.
  • Contract Drafting and Review:
    • Draft, review, and negotiate non-complex contracts, including but not limited to NDAs, master service agreements, master supply agreements, terms and conditions, SaaS agreements, and other commercial agreements.
    • Ensure contractual agreements align with corporate objectives, legal requirements, and industry best practices while minimizing legal risks.
  • Supply Chain Oversight:
    • Review supply chain agreements, assess supply chain risks, and negotiate favorable terms to safeguard the corporation's interests and enhance operational efficiency.
    • Stay abreast of supply chain trends, regulations, and best practices to proactively address emerging challenges and opportunities.
  • Employment Law Expertise:
    • Apply expertise in employment law to advise on employment-related matters, including hiring, termination, discrimination, harassment, and compliance with labor regulations.
    • Collaborate with HR and management teams to develop and implement policies and procedures that promote a fair and compliant workplace environment.
  • Training and Education:
    • Participate in the development and implementation of training programs aimed at enhancing legal awareness and compliance across corporate functions.
    • Educate corporate employees on legal requirements, policies, and procedures to foster a culture of legal compliance and risk mitigation.
  • Collaboration with External Counsel:
    • Collaborate with external legal counsel to address complex legal challenges, leveraging specialized expertise to provide comprehensive advice and support to the corporation.
    • Coordinate with external counsel in legal proceedings, negotiations, and transactions to safeguard the corporation's interests effectively.

 

 

What you will bring to the table:

 

  • 5-7 years of experience as a commercial lawyer in a corporation or law firm
  • Auto industry experience preferred
  • Law firm experience combined with in-house experience is preferred
  • Demonstrated experience in corporate law, contract drafting, and legal advisory roles within a corporate environment.
  • Proficiency in employment law principles, with a strong understanding of labor regulations and HR practices.
  • Familiarity with supply chain dynamics and experience in reviewing and negotiating commercial agreements.
  • Excellent communication skills, both written and verbal, with the ability to convey complex legal concepts in a clear and concise manner.
  • Strong analytical skills and attention to detail, coupled with the ability to identify and assess legal risks effectively.
  • Proven ability to collaborate effectively with internal stakeholders and external counsel to achieve strategic objectives.
